Votes of Note
We take a look at shareholder votes of note over the past week to see what we can learn about the companies, the market, and shareholders.
Better, but not Great at Fair Isaac (FICO)
After last year’s effectively failed say-on-pay vote (58% FOR), Fair Isaac (FICO) engaged with shareholders in an attempt to to gain their support in 2025. The efforts worked, mostly, with say-on-pay this year reaching 83%. According the to company (see proxy) engagement focused on shareholders’ significant concerns regarding the one-time retention and leadership continuity award granted to CEO William Lansing in fiscal 2023. Based on feedback, Comp committee agreed not to grant one-time awards to executive officers in the future (except under extraordinary circumstances).
Changes to the compensation program also include:
- The maximum performance achievable under the individual performance component of the annual incentive program was decreased from 200% to 150%.
- The comparator group for measuring relative total shareholder return (TSR) performance for performance-based equity was updated from the Russell 3000 to the S&P 500.
- The level of performance required to earn the target award opportunity was increased from the index average to the 55th percentile of the index.
- Additional clawback measures were adopted to enable the recovery of all incentive compensation in cases of specified misconduct.
- Stock ownership guidelines were refined to exclude stock options from being counted towards meeting ownership requirements.
Our Take: FICO is a high-flyer and so could have relatively easily brushed aside shareholder concerns. The engagement and outcome seems like a good deal for both sides and, if performance continues apace, shareholders will likely be satisfied.
Helmerich & Payne (HP) Directors Not Feeling the Pain?
Helmerich & Payne, Inc. (HP) shareholders continue to take it on the chin with the stock down almost -30% (annualized) over the past three years. Despite this, by and large the directors received reasonably high support from shareholders (an average of 93%). Only lead director and chair of the compensation committee Randy Foutch felt the sting by receiving 81% support. Putting Foutch’s 81% support in context though, he’s received that approximately that number, or lower, every year for the past 5 years except for 2022 when he had a 91%.
Our Take: Whatever message shareholders are hoping the board receives by continually showing low support for Foutch, it’s clear the board either isn’t hearing it or doesn’t care. For us, we’d like to see shareholders — of which Vanguard and Blackrock are the two largest — factor in performance of the company and the board. And, if they did, we’d see a much larger percentage voting against all the members of an entrenched, underperforming board.

Highlights
- Kroger Co. (KR) – W. Rodney McMullen steps down after 11 years, with Ronald Sargent taking over as interim CEO. Sargent has been a Kroger director since 2006 and served as Lead Director since 2017. Sargent was pushed out after a formal board investigation into his behavior/ethics.
- Las Vegas Sands Corp. (LVS) – Robert G. Goldstein will be succeeded by Patrick Dumont in a CEO transition that will play out through March 2026 when Goldstein finally steps down.
- loanDepot Inc. (LDI) – CEO Frank Martell steps down, with company founder Anthony Li Hsieh likely to return as interim CEO in the event that a permanent replacement isn’t found. This comes as part of an extended cooperation agreement between Hsieh and loanDepot (read our update article) that includes additional shake-ups at the company.
