Highlights

Moderna CFO Jorge Gomez lasts only a day. Chief Financial Officer Jorge Gomez departed within a day of taking charge after his former employer Dentsply Sirona (XRAY) disclosed an internal probe related to financial reporting. Recently retired CFO David Meline will return to the role. Gomez doesn’t leave empty-handed. He will receive 12 months’ salary totaling $700,000, and forfeit his signing bonus and bonus eligibility. The investigation at Dentsply Sirona is focused on the use of incentives to sell products to distributors and the accounting associated with those incentives. Clearly there could be more beneath the surface here, given Dentsply Sirona also just as parted ways with its CEO Don Casey, who has held the role since 2018. CEO and Board Reshuffle at US Foods. Pietro Satriano, who has been CEO at U.S. Foods Holding Corp. (USFD) since 2015, is stepping down as part of a settlement with activist Sachem Head Capital Management. Satriano will not stand for re-election at the company’s next annual meeting. Robert Dutkowsky has been appointed executive chair and Andrew Iacobucci interim CEO. Sachem Head, which owns an 8.7% stake in U.S. Foods, had been seeking to take control of the 11-member board after nominating seven directors. The firm will also get three board seats as a result of the settlement: James Barber, Scott Ferguson and David Toy will become independent directors at U.S. Foods. Following its 2022 meeting on May 18, U.S. Foods’s board will consist of 13 directors, all of whom will be independent. Ferguson, the founder and managing partner of Sachem Head, and Toy will also join a five-member CEO search committee. US Foods, one of the largest food-service distributors in the U.S., has struggled with underperformance, having delivered 3-year TSR of 0– versus +13% for the S&P 500 over the same period.
