Blackwell’s filed its preliminary contested proxy for its fight with Braemar Hotels & Resorts (BHR). Blackwell’s is nominating four directors to the board and has four additional proposals that aim to reign in what it believes is governance gone bad BHR.

MRC Global’s (MRC) fight with Engine Capital is heating up as Engine Capital filed its preliminary contested proxy. Engine Capital is nominating two directors to the board and believes that MRC is a chronic underperformer and is pursuing a flawed M&A strategy with a CEO, Rob Saltiel who has a poor track record of acquisitions and integration.

Erez also filed its preliminary contested proxy for its fight with Whitestone REIT (WSR). Erez is trying to get two directors onto the board.

MDU Resources (MDU)  and Keith Meister / Corvex Management extended their cooperation agreement from January 2023.

Shake Shack (SHAK) steals Papa John’s (PZZA) CEO Robert Lynch as current CEO Garutti steps down after a successful 12 year run. Pitney Bowes (PBI) was also raided and loses CFO Ana Maria Chadwick to Insulet (PODD). DraftKings (DKNG) promotes from within for its new CFO as Alan Elingson is set to take over at the start of May. DeSPAC BAKKT Holdings (BKKT) gets a new CEO, but with it trading well below $1 now, few will hold high hopes.
