This Week in the Boardroom: CEO Transitions, CFO Shakeups, and New Board Leadership

This past week saw a wave of CEO, CFO, and board transitions across corporate America — with notable shifts at Organon & Co., NXP Semiconductors, FISERV, and Murphy USA, among others. The changes highlight ongoing board refreshment and leadership transitions in companies facing both performance pressure and strategic pivots.

At Organon & Co. (OGN), Kevin Ali resigned as CEO and Director, with Joseph Morrissey stepping in as Interim CEO and Carrie S. Cox named Executive Chair. The move comes amid steep shareholder losses — the company’s 1-year TSR sits at -61.8%, and its C- board rating and high activist risk signal governance challenges. This transition will be closely watched as the board seeks stability after a period of underperformance.

A major leadership handoff occurred at NXP Semiconductors (NXPI), where Kurt Sievers retired as CEO, succeeded by Rafael Sotomayor. NXP’s board holds a B rating with elevated activist risk, and shares are down -14.3% over the past year. The change comes as the semiconductor sector faces renewed pricing pressure and geopolitical headwinds.

At FISERV (FI), sweeping changes were announced. The $35 billion fintech firm — which has lost -67% TSR over the past year and holds a C+ board rating with high activist risk — named Paul M. Todd as CFO, replacing Robert Hau, who moves into an advisory role. The company also appointed Dhivya Suryadevara and Takis Georgakopoulos as Co-Presidents, while multiple board members will rotate out. These shifts underscore mounting investor scrutiny after a year of sharp underperformance.

Meanwhile, Murphy USA (MUSA), with a strong A board rating and stable shareholder returns (-22.7% 1-yr TSR), announced a planned succession. Mindy K. West will become President and CEO effective January 1, 2026, succeeding long-time chief R. Andrew Clyde. The well-planned transition reflects sound governance at one of the week’s better-rated boards.

Other notable changes include Adam S. Elinoff becoming CFO at Agilent Technologies (A) (C+ board rating, +9.9% TSR), Cassandra Hudson stepping in as CFO of Alkami Technology (ALKT) after a -42% TSR, and Laurette T. Koellner joining the Celestica (CLS) board following a remarkable +387% TSR — one of the strongest performers this season.

Boards with persistent red flags remain under scrutiny. Clorox (CLX) continues its executive turnover amid -26% TSR and elevated activist risk, while FMC Corp (FMC) faces another key exit with its President departing, after a staggering -75% shareholder loss over the past year.
