FAQ: Auto-Summarized Red Flags & Jump-to-Text Highlights in Filings

What is the new “Auto-Summarized Red Flags & Topics” feature?

Boardroom Alpha now automatically summarizes key portions of SEC filings (such as 8-Ks and 10-Ks) when it identifies key governance-related red flags and topics, like:

  • Internal Investigations
  • Executive Departures or Appointments
  • Board Changes
  • Settlement Agreements
  • Activism or Governance Risk Events

The platform then highlights the relevant sections of the document and lists the topics at the top of the page for quick navigation.

How do I use the feature?

  1. Open a filing (e.g., an 8-K or proxy statement) within Boardroom Alpha.
  2. Look for the colored topic tags (e.g., “BANKRUPTCY,” “PEOPLE MOVES”) near the top of the filing view.
  3. Click a topic tag to instantly jump to the corresponding highlighted section of the filing text.
  4. Review the highlighted excerpt, which is the precise paragraph(s) that triggered the tag.

Where do the highlights come from?

Highlights are generated using our AI-driven natural language engine, which identifies and extracts text related to known red flag triggers (such as “resignation,” “termination,” or “plan of reorganization”).


Can I trust the accuracy of the highlights?

Yes. Our models are trained specifically on governance-focused filings and have been benchmarked for high precision. That said, we always include enough surrounding text to give users proper context and transparency.


Does this replace my need to read the filing?

No. While this feature drastically reduces the time needed to locate and interpret key issues, we recommend reviewing the full filing when performing deeper diligence. The highlights serve as a starting point, not a substitute.


Is this available on all filings?

Currently, this feature is available for:

  • Form 8-K (e.g., Item 5.02 changes in officers/directors)
  • Form 10-K / 10-Q (for risk and governance topics)
  • Proxy Statements (select items)

Additional filing types and tagging categories are in development.


What if I find a mistake or missing tag?

Please click the “Report an Issue” link next to the tags, or email our support team at support@boardroomalpha.com. Your feedback helps us continuously improve.


Can I search for filings by topic tag?

Yes! In the main Filings Search interface, you can filter by topic, such as “Cooperation Agreement” or “Bankruptcy,” to quickly find filings that include those issues.
