This Week in the Boardroom: CEO Transitions, CFO Shakeups, and New Board Leadership

This week’s leadership shifts spanned multiple sectors — from major health and consumer companies navigating performance headwinds to governance transitions at top industrial and financial firms. The moves reflect a mix of strategic reshuffling, activist pressure, and ongoing board refreshment across U.S. public companies.

At Baxter International (BAX), Heather Knight resigned as Chief Operating Officer, effective October 29. Andrew Hider will step in as interim Group President of MPT. Baxter’s board carries a D rating, with a -35.5% one-year TSR, signaling steep shareholder losses. Red flags include a non-independent chair, high activist vulnerability (score: 100), and significant governance risks — all pointing to continued pressure on leadership stability.

BILL Holdings (BILL) added two new directors — Peter A. Feld and Lee Kirkpatrick — under a recent cooperation agreement, following activist engagement. With a C- board rating, -8.2% TSR, and high vulnerability (score: 95), the appointments mark another example of governance recalibration amid investor scrutiny.

At Boston Beer Company (SAM), Philip A. Hodges was appointed Chief Operating Officer, while Philip E. Savastano became Chief Supply Chain Officer. The brewer’s C- board rating and -27.2% TSR underscore ongoing shareholder losses. Boston Beer’s multi-class share structure and staggered board continue to draw governance concerns as performance remains weak.

Meanwhile, Citigroup (C) elevated Jane Fraser to Chair of the Board, with John Dugan becoming Lead Director. Despite a C+ board rating, Citi has delivered a 58% one-year TSR, highlighting strong market performance as the bank deepens its leadership bench and strengthens governance oversight.

In industrials, Textron (TXT) named Lisa M. Atherton as its next President and CEO, effective January 2026, succeeding Scott C. Donnelly, who will become Executive Chairman. The board’s C- rating, -8.4% TSR, and high activist vulnerability (score: 90) suggest the leadership transition may be as much about addressing shareholder frustration as it is succession planning.

Howmet Aerospace (HWM), by contrast, remains a governance bright spot. The company’s A-rated board and +95.1% TSR accompany the retirement of CFO Ken Giacobbe, who will be succeeded by Patrick Winterlich. Strong performance and effective governance stand out amid a week dominated by tougher transitions elsewhere.

Other notable changes include:

  • Heather Knight joining Solventum Corp (SOLV) as Chief Commercial Officer, following her departure from Baxter. Solventum carries a B rating but faces activist risk (score: 78).
  • L. Kevin Cox, Mary Lou Kelley, and Tony Palmer joining the Kraft Heinz (KHC) board, which holds a C- rating and -24.5% TSR, amid ongoing activist pressure (score: 100).
  • Mala Murthy, CFO of Teladoc Health (TDOC), resigning effective November 21. The company’s C- board, -0.9% TSR, and activist vulnerability (94) continue to raise governance questions.
