YORKVILLE TAKES OVER TEXAS VENTURES III
Yorkville took control of Texas Ventures Acquisition III Corp., purchasing 7.5 million Class B founder shares and 4.7 million private placement warrants from the prior sponsor for $7.4 million. As part of the handoff, the entire board and management team resigned, with Yorkville installing new directors and officers at closing. The SPAC will be rebranded as Yorkville Acquisition II as it pursues a merger. Notably, the deal closed even though underwriters did not waive their deferred IPO fee rights, a condition originally required under the Purchase Agreement.

The new Yorkville-led team brings together a mix of seasoned financiers, corporate executives, and political figures. Chairman Mark Angelo, founder of Yorkville Advisors, has overseen more than $7 billion in transactions across 730 companies. He is joined by Omar Hasan, a finance executive with senior roles at Reddit, Snap, and Hulu, and several high-profile figures tied to Trump Media & Technology Group and the Trump Organization, including Devin Nunes, Scott Glabe, Lawrence Glick, and Alan Garten. Rounding out the leadership are Kevin McGurn, a veteran media and tech executive named CEO, and Troy Rillo, a longtime Yorkville partner and securities lawyer serving as CFO. Together, the group combines capital markets expertise, operational leadership, and political and corporate networks as they reposition the SPAC under the Yorkville brand.
