Suma Acquisition Corp. priced its $150 million initial public offering on March 11, 2026, marking a disciplined entry into a stabilizing SPAC market. The vehicle aims to capitalize on the ongoing valuation reset in the middle-market, where high-quality targets have struggled to find traditional exit liquidity. By pricing at $150 million, the sponsor has avoided the “over-sizing” trap that plagued many 2021-era peers, opting for a leaner trust that matches the current appetite for realistic enterprise values in the $400 million to $800 million range.

Strategy: The SPAC is targeting technology-enabled businesses across North America, with a specific lens on companies that provide critical infrastructure software, logistics automation, or disruptive financial services. The mandate prioritizes “Rule of 40” candidates—businesses demonstrating a sustainable balance between revenue growth and EBITDA profitability—reflecting the market’s shift away from pure-growth narratives toward fundamental value.

Leadership Team:

  • Vikas Gupta (CEO & Chairman): A seasoned private equity veteran with over two decades of experience in cross-border M&A and digital transformation. He previously oversaw a portfolio of mid-market tech assets, focusing on operational scaling and margin expansion.
  • Sarah Chen (CFO): Formerly a high-ranking executive at a global fintech platform; she brings deep expertise in public market readiness, SEC compliance, and institutional investor relations.

Structure: 15 million units at $10.00. Each unit consists of one Class A ordinary share and one-half (1/2) of one redeemable warrant. The inclusion of a half-warrant provides a more aggressive sweetener for yield-seeking IPO investors compared to the tighter structures seen in 2025. Cantor Fitzgerald & Co. acted as the sole book-running manager for the offering.

Yotta Acquisition Corp. formally pulled the plug on its business combination with DRIVEiT Financial Auto Group, Inc. on March 4, 2026. The termination ends a merger process originally initiated in August 2024 that sought to bring the electric vehicle “superstore” operator public at a $100 million equity valuation. With the DRIVEiT deal off the table and the SPAC’s combination window narrowing, Yotta now faces the immediate pressure of securing a new target or proceeding toward mandatory liquidation.

This marks the second high-profile failure for the Yotta team. The SPAC previously spent nearly a year pursuing a $275 million merger with NaturalShrimp Incorporated, a deal that was ultimately terminated by the target in July 2023. NaturalShrimp cited Yotta’s inability to meet the “Net Tangible Asset” requirement—a $5 million minimum threshold—as the primary cause for the breach. The subsequent fallout included a disputed $3 million termination fee and mutual accusations of contractual non-performance.
