SPAC IPO: ILLUMINATION ACQUISITION CORP I (ILLU)
Ticker: ILLU (Units: ILLUU)
Size: $200 Million
Sponsor: Illumination Sponsor LLC

Illumination Acquisition Corp I priced its $200 million initial public offering on February 26, 2026, and begins trading on the Nasdaq today. This launch signals a strategic play for mid-market leadership in the media and entertainment landscape. By targeting the intersection of content and technology, the management team aims to capitalize on the ongoing consolidation within the digital media ecosystem and the burgeoning demand for proprietary intellectual property.

Strategy: The SPAC is targeting high-growth sectors within Media, Entertainment, and Technology. Specific areas of interest include content production, digital distribution platforms, live entertainment, and consumer-facing technology applications that leverage global brand recognition.

Leadership Team:

  • John Farrell (CEO & Chairman): A seasoned media executive with a track record of scaling digital platforms. He previously held senior leadership roles at Google and YouTube, where he spearheaded international expansion and creator ecosystem development.
  • Sarah Evans (CFO): Brings extensive experience in capital markets and corporate development, having previously served as a finance lead at major media conglomerates and overseen multiple high-stakes M&A transactions.

Structure: 20 million units at $10.00. Each unit consists of one Class A ordinary share and one-half (1/2) of one redeemable warrant. The half-warrant structure is a traditional incentive for IPO investors, providing significant leverage upon the announcement of a definitive agreement. Cantor Fitzgerald & Co. acted as the sole book-running manager for the offering.

PENN Entertainment Settles Bitter HG Vora Feud: A Three-Seat Ransom to End Litigation

After a 2025 proxy battle that moved from the ballot box to the federal courtroom, PENN Entertainment has finally blinked. By expanding its board to 11 seats and appointing three HG Vora-backed directors, PENN has traded immediate board influence for a tactical peace. But is this a strategic refresh or a “boardroom receivership” meant to audit the company’s struggling digital pivot? We go behind the 8-K to break down the winners, the losers, and the “ransom” paid to end the most contentious saga in gaming today.
