Spring Valley Acquisition Corp. IV priced its $200 million initial public offering on February 9, 2026, and hits the Nasdaq today. This fourth vehicle from the Dallas-based Spring Valley team follows an exceptionally active 24-month run, solidifying their status as the “go-to” sponsor for the nuclear and energy transition sectors. The launch comes just weeks after Spring Valley III announced its $1 billion merger with General Fusion and as Spring Valley II moves toward closing its combination with Eagle Energy Metals. By maintaining a tight focus on the decarbonization “picks and shovels,” the sponsor is successfully navigating a market where generalist SPACs have largely retreated.

Strategy: The SPAC is targeting the Power Infrastructure and Decarbonization sectors. Management is zeroing in on businesses that support the global energy transition, specifically looking for targets with an equity value of $1 billion or more. Given the sponsor’s pedigree, investors should expect a search focused on advanced nuclear, grid stability, or large-scale carbon capture technologies.

Leadership Team:

  • Christopher D. Sorrells (CEO & Chairman): A veteran energy investor and former Lead Director for Renewable Energy Group (acquired by Chevron). Sorrells has now shepherded four Spring Valley vehicles, including the successful NuScale Power (SMR) merger.
  • Jeff Schramm (CFO): Previously the CFO of Lehigh Technologies and a seasoned executive in the industrial and clean-tech space, Schramm provides the operational oversight required for complex infrastructure deals.

Structure: 20 million units at $10.00. Each unit consists of one Class A ordinary share and one-fourth (1/4) of one redeemable warrant. The 25% warrant coverage is a slight tightening from typical “struggling” SPAC structures, reflecting the sponsor’s strong track record and the current appetite for energy-transition equity. Cohen & Company Capital Markets acted as the lead book-runner.
