NBRGU – NEWBRIDGE ACQUISITION LTD – SIGNS NON-BINDING LOI
Newbridge Acquisition Limited has signed a non-binding memorandum of understanding with Starcoin Group Limited to explore a potential de-SPAC merger, the companies said. The agreement establishes a framework for due diligence and negotiations but does not commit either party to a transaction, and no deal terms have been disclosed.

The MOU expires on the earlier of a definitive agreement or 180 days from February 27, 2026, with an extension possible by mutual consent. Newbridge cautioned shareholders that the transaction may not proceed and advised investors to exercise care when trading its securities.

SLAM CORP COMPLETES SPONSOR CHANGE, PIVOTS TOWARD CRYPTO
Slam Corp., a blank-check company that has been searching for a merger target since its 2021 IPO, completed a change of control on March 2, 2026, as Digital Investment Strategy, LLC acquired 100% of the equity interests of the original sponsor from its founding members. The transaction effectively hands the keys of the SPAC to a new team with deep roots in cryptocurrency and decentralized finance, replacing a board that included former MLB star Alex Rodriguez with a new slate of directors and officers led by co-founders Maulin Shah, Joseph Buttram, and Raoul Scott — all veterans of crypto-native investing and institutional capital markets.

The new leadership team signals a clear strategic pivot. Buttram, now CEO, built his career around DeFi protocols and the Synthetix ecosystem, while fellow board appointee Kain Warwick is the actual founder of Synthetix — one of DeFi’s most prominent protocols. Rounding out the crypto-heavy bench is Michael Frisch, a former CFTC enforcement attorney who led some of the agency’s earliest cryptocurrency cases. With its trust still intact and underwriter BTIG having freshly waived its deferred underwriting fee in exchange for a modest 20,000 shares upon deal close, the reconstituted Slam Corp. appears poised to pursue a digital asset or blockchain-related business combination — a notable repositioning for a SPAC that originally marketed itself around sports and entertainment.
