CHAMATH IS BACK WITH AMERICAN EXCEPTIONALISM ACQUISITION A
Chamath Palihapitiya rejoins the SPAC market today with the IPO of American Exceptionalism Acquisition Corp. A (AEXA), raising $300 million after upsizing from its original $250 million filing. Santander acted as sole book-runner, with an over-allotment option in place to meet demand. Unlike many of his earlier blank-check vehicles, AEXA incorporates “SPAC 2.0” features — no speculative warrants and sponsor shares that vest only if the post-deal stock rises 50% — designed to better align incentives with investors. Boardroom Alpha has previously covered Palihapitiya’s mixed SPAC track record: while the SoFi deal produced real gains, most of his other transactions have disappointed shareholders post-merger. With AEXA targeting companies in AI, energy, DeFi, and defense, the IPO is likely to resonate with Chamath’s supporters who continue to see him as a champion of disruptive industries — even as his prior SPACs have delivered mixed results.
