MBX swapped its CEO and CFO on July 13 after a 369% one-year run — the cleanest reminder that this week’s 11 CEO changes and 18 CFO changes were not all distress.

Winners And Laggards Rewire Control
Biotech Winners Rebuild Anyway
MBX Biosciences (MBX) made the week’s cleanest top-to-bottom handoff in the sector that led CEO/CFO turnover with six transitions: Kent Hawryluk exited as CEO and director, Steven Hoerter became CEO and John Smither became CFO on July 13. Hoerter was Deciphera’s CEO until its Ono sale; shares are up 369% over the past year, while the S&P gained 21%, so this reads less like panic than a commercialization bench being rebuilt at speed.

The volatility still matters: the stock collapsed 75% from its Oct. 14, 2024 peak before recovering to $58.32, and MBX is now handing finance to 72-year-old John Smither, whose biotech CFO tenures average just 1.0 year.
Industrial Winners, Uneasy Benches
Sterling Infrastructure (STRL) announced General Counsel Mark Wolf’s coming retirement, a small legal change at a company with a very loud equity tape. The stock is up 2,930% over five years and still carries an A board rating, but its tenure file shows three CFOs in three years.

Sterling’s run has not been linear: the stock collapsed 47% from its Nov. 18, 2024 peak before racing to fresh highs in June, a reminder that even elite performers can have brittle benches.
At-Risk Finance Seats
Upwork (UPWK) put CEO Hayden Brown into interim principal-finance duty while CFO Erica Gessert takes a temporary medical leave. That is not a succession crisis by itself. But at a D-rated company screening as HIGH activist risk, with shares down 28% over one year while the S&P gained 21%, control suddenly looks concentrated.

Shareholders have seen this movie: Upwork stock collapsed 87% from its Oct. 11, 2021 peak, and Brown’s latest director vote drew only 79.6% support. That is notable dissent, not a mandate.
Interim Tags Meet Weak Spreads
Pentair (PNR) installed Robert Fishman as interim CFO after Nicholas Brazis resigned, leaving a company on its second finance chief in three years. Shares fell 37% over the past year while the S&P gained 21%, and the name screens as HIGH activist risk — the wrong mix for an interim tag.
Moves Below The Surface
CEO Transitions
- Fastenal (FAST) elevated Jeffery Watts to CEO and director, a $53.6B handoff at a B+ board with 26-year director tenure.
- Brown-Forman (BF.B) said CEO Lawson Whiting will retire after a 7.5-year CEO run, with shares down 25% over three years.
- Hanover Insurance (THG) set John Roche’s retirement and Richard Lavey’s CEO-elect track, a planned handoff after a 29% one-year return.
CFO Transitions
- CoStar Group (CSGP) poached Robin Rossmann for CFO as Christian Lown resigned, with shares down 64% over the past year.
- Fortrea (FTRE) put Carrie Russell into interim accounting control after Robert Parks exited, despite a 266% one-year stock rebound.
- John B. Sanfilippo & Son (JBSS) named Frank Pellegrino president and CFO, a family-company reset with a 29-year longest director.
Board / Director Changes
- Enova (ENVA) added Maria Veltre while two directors resigned, refreshing an A-rated board whose longest-tenured director has served 15 years.
- Esperion Therapeutics (ESPR) replaced six directors with two after its merger, yet shares are up 433% over the past year.
- The Trade Desk (TTD) added Penry Price, who also sits at Church & Dwight, as shares fell 76% in one year.

Beyond the headline
Old Boards Keep Rotating
Director churn clustered at underperforming, long-tenured boards, with exits or appointments at software and ad-tech names (Unity, The Trade Desk, PagerDuty) already carrying D/C- governance marks.
