Boards Choose Continuity at the Top

Lumentum Sends Hurlston to Marvell’s Board

Lumentum (LITE) · $46.2B · 1Y TSR +170.6% · board B+ · activist LOW ·Technology

Lumentum Holdings (LITE) agreed to be acquired by Marvell in an all-stock transaction, and the leadership plan gives Lumentum one named seat at the buyer. Michael Hurlston is expected to join Marvell’s board after the deal closes, along with two other Lumentum-designated directors the filing did not name.

Hurlston, 59, has served as Lumentum’s chief executive since February 2025. He previously led Synaptics and Finisar, and he oversaw Finisar’s acquisition by II-VI. He also sits on Flex’s board, where Boardroom Alpha records a six-year tenure. Lumentum shareholders gave him 98% support at the November 2025 annual meeting.

Lumentum shares fell more than half from their October high by early November. The stock is still up about 42% a year over five years, a reminder that Marvell is buying after a huge run. The transaction is expected to close in the first half of 2028.

Our earlier coverage: Late-November meetings to watch, including Oracle, Estée Lauder and Lumentum (Nov. 2).

Marvell Keeps Murphy atop Combined Company

Marvell Technology (MRVL) · $117.1B · 1Y TSR +52.7% · board B+ · activist LOW ·Technology

Marvell Technology (MRVL) agreed to a two-step merger that would make Lumentum a wholly owned subsidiary. Matt Murphy will remain chairman and chief executive of the combined company, which keeps the top office in Marvell’s hands.

Michael Hurlston, Lumentum’s chief executive, is expected to join Marvell’s board after closing. The filing names Hurlston but not the other two Lumentum directors expected to join him. Marvell has had eight directors exit in five years, so the incoming Lumentum seats will refresh a board that already has turnover.

Murphy keeps control of a stock that has gained about 53% in a year. The S&P gained about 9% over the same period. The merger is expected to close in the first half of 2028, subject to closing conditions.

Chord Sets Lou’s CEO Pay

Chord Energy (CHRD) · $7.2B · 1Y TSR +55.4% · board C · activist ELEVATED ·Energy

Chord Energy (CHRD) put Michael Lou‘s CEO compensation in place after appointing him president and chief executive. Lou entered the role effective Oct. 19 and gets no extra pay for remaining a director.

Lou, 52, served as CFO and EVP at Oasis Petroleum and worked on the merger with Whiting Petroleum. He succeeds Daniel E. Brown, who had led Chord since April 2021. Boardroom Alpha records Lou with more than a dozen years as a public-company CFO across energy businesses.

Chord set Lou’s base salary at $950,000. His cash-incentive target is 125% of salary. The restricted-stock award covers 6,543 units. Chord’s stock has gained about 55% in a year, so Lou starts with room that many new energy chiefs do not get.

Activity Pulse — CEO/CFO & Board Transitions
Transitions by effective date at U.S. public companies listed for at least two years (SPACs excluded); This Week is the past seven days. The weekly recap counts companies whose filings announced a move, including moves that take effect later, so its tallies run higher. YoY compares the trailing 12 months against the 12 months before that.

Sector Turnover Rates — Where the Churn Concentrates
Share of each sector’s public companies (listed at least a year) where a CEO or CFO started or left in the window, interim appointments included; appointments that take effect later are not counted. Cells colored on each column’s actual min-max spread — darker = more activity, not better or worse. (Industry-typical CEO turnover runs ~10–15% annually; a low rate may indicate stability or stagnation.)

Activist risk and board ratings are derived from Boardroom Alpha’s proprietary scoring. Activist risk is forward-looking — a quantitative estimate of likelihood of activist engagement, not a current campaign. Board ratings are the average Boardroom Alpha rating of each company’s current directors. TSR is total shareholder return; one-year figures are simple returns and multi-year figures are annualized. Spreads vs the S&P 500 are in percentage points. Return figures are omitted where a merger, spin-off or similar corporate action breaks the price series.
