How this dataset is built

Every move on this page is sourced directly from SEC EDGAR — Item 5.02 8-Ks for officer and director changes, DEF 14A proxies for board slates, and amended filings for retractions. People, roles, and direction (entering / departing / interim) are extracted as structured fields the moment a filing lands. Board ratings, activist-risk flags, and 1-year TSR versus the S&P 500 are computed from the Boardroom Alpha company-research dataset. SPACs and foreign private issuers are excluded so the counts reflect genuine C-suite churn at U.S. operating companies.

What counts as an executive move?
Any CEO, CFO, or other named-officer transition (entering, departing, or interim) plus every director addition or resignation disclosed in an SEC filing — most commonly an 8-K Item 5.02 or a DEF 14A. Boardroom Alpha extracts the person, role, and direction as structured fields the moment a filing lands.
Are these all the moves, or a selection?
The spotlight surfaces the largest CEO and CFO moves of the week, ranked by market cap, plus smaller companies carrying notable governance signals. Every move at every U.S. public company — including micro-caps — is available on the Boardroom Alpha platform.
What does the board rating mean?
The letter grade (A through F) is Boardroom Alpha's board-quality rating — an average of the focal directors' individual tenure scores, built from track record, tenure, committee load, and outside directorships. Lower grades signal weaker boards.
