Because the vote is advisory, it will not legally require the Company, Board, or Compensation Committee to change compensation practices. Nevertheless, the Board and Compensation Committee state that they will carefully consider the voting results in future compensation decisions. Management presents the program as designed to attract, motivate, and retain high-caliber executives while aligning pay with Company goals and stockholder interests. The program includes base salary, annual cash incentives tied to net sales, Adjusted EBITDA, and strategic initiatives, and long-term equity incentives consisting of restricted stock and performance shares tied to relative total shareholder return. For fiscal 2026, the Company reported that 85% of NEO compensation was at risk, annual incentive payouts were 150.4% of target, and the completed performance-share cycle paid 143.23% of target. The Company also highlights an approximately 98% favorable advisory vote on fiscal 2025 executive compensation and says it retained the existing structure after considering that result.
