    More detail

Proposal 3 asks stockholders to approve, on a non-binding advisory basis, the compensation paid to Stride’s named executive officers for fiscal 2026. The resolution covers the overall compensation program rather than any single salary, bonus, equity award, or benefit. Management is seeking approval under Section 14A of the Exchange Act, commonly known as a Say-on-Pay vote. The Company says its program is intended to attract, motivate, and retain executives who are critical to its success. It links compensation to annual financial performance, long-term operating objectives, stock-price growth, and increased stockholder value. For fiscal 2026, most target compensation for the NEOs was performance-based, and annual bonuses were tied principally to revenue and Adjusted EBITDA, with a specialized value-driver revenue measure for Todd Goldthwaite. The Company also highlights governance practices including stock ownership requirements, clawback provisions, anti-hedging and anti-pledging policies, and the absence of tax gross-ups. Approximately 82% of votes cast at the 2025 annual meeting supported the prior year’s NEO compensation, and the Committee says that result supported retaining the basic program design for fiscal 2026 while continuing stockholder engagement. The Board recommends voting FOR the resolution because it believes the compensation structure aligns executive incentives with Company performance and long-term stockholder interests. The vote is advisory and therefore does not bind the Company, the Compensation Committee, or the Board, but management says it will consider significant opposition and evaluate whether further action is warranted.
