Effective, October 1, 2025, Laura Lee Stewart, the current President and Chief Executive Officer of the Bank and the Company, will relinquish her roles as President of the Company and the Bank. Ms. Stewart will continue to serve as Chief Executive Officer of the Company and the Bank and as a director of each. There are no arrangements or understandings between Mr. Ochs and any other person pursuant to which he was selected as an officer. Mr. Ochs has no family relationships required to be disclosed pursuant to Item 401(d) of Regulation S-K and has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Mr. Ochs’ other compensation arrangements, including participation in the Company’s incentive and equity-based compensation programs, will remain unchanged.
