Commencing on July 9, 2026, the Company sent the following to the Partners, Executive Vice Presidents, Senior Vice Presidents, Vice Presidents, Directors and Seniors of the Company, employees of the Company that participate in the Company’s Employee Stock Purchase Plan, and those other employees of the Company who hold shares of Company common stock.

Booz Allen Hamilton Holding Corporation will have its 2026 Annual Meeting of Stockholders on Wednesday, July 22 at 8:00 am ET. This will be a virtual meeting only.
Booz Allen stockholders as of June 1, 2026, are eligible to vote on the five items noted in our proxy statement this year. If you held Booz Allen stock as of that date, you should have received instructions via mail or email on how to cast your vote. If you have not received this information, contact Susanna Patton in the Legal, Ethics & Compliance Team.
The five items are:
Election of 10 director nominees;
Ratification of the appointment of Ernst & Young LLP as our independent registered public accounting firm for fiscal year 2027;
A non-binding advisory vote on the compensation program for the Company’s named executive officers, as disclosed in the Compensation Discussion and Analysis section of the proxy statement;
Stockholder proposal regarding Stockholder Right to Act by Written Consent; and
Consideration of any other business that may properly be brought before the Annual Meeting.
