Stockholders will vote on six proposals: (1) election of the Company’s three Class II directors (Ryan Dalton, Andrew Robb, Scott Sheffield); (2) ratification of Ernst & Young as the independent registered public accounting firm for the fiscal year ending June 30, 2026; (3) approval, under ASX Listing Rule 10.14, of the issuance of 27,251 shares of Common Stock (representable as CDIs or RSUs) to Richard Stoneburner (or his nominee) under the 2024 Equity Incentive Plan in lieu of the equivalent amount of fees for his service as Interim CEO; (4) approval, subject to Proposal 1, of issuing shares of Common Stock to Scott Sheffield (or his nominee) up to US$200,000 per fiscal year for two years under the Plan, in lieu of director fees; (5) approval, of issuing shares to Phillip Pace under the same terms and for the same two-year period; and (6) approval, of issuing shares to Jeffrey Bellman under the same terms and for the same two-year period.
