The proposal asks shareholders to ratify the Audit Committee’s appointment of BDO as independent auditors for fiscal 2026. Management seeks shareholder approval as a matter of good corporate practice and to obtain shareholder input; ratification is not binding on the Audit Committee which retains discretion to change auditors. The proposal notes the audit fees paid in 2025 and 2024 and that representatives of BDO will attend the meeting. The board recommends a FOR vote, asserting that the Audit Committee vetted and selected BDO and that shareholder ratification supports good governance while preserving committee flexibility to replace auditors if necessary.
