The Special Meeting will consider three proposals: (1) approve the NGL Energy Partners LP 2025 Long-Term Incentive Plan; (2) ratify Grant Thornton LLP as independent registered public accounting firm for fiscal year 2026; (3) approve the adjournment or postponement of the Special Meeting to continue soliciting votes for the LTIP.
Approval of the 2025 LTIP, authorizing the Compensation Committee to grant equity- and unit-based awards (Options, Unit Appreciation Rights, Restricted Units, Phantom Units and Other Unit-Based Awards) to eligible participants, with limits on the total units (10,000,000) and governance features intended to protect unitholders’ interests.
Approval of the Audit Committee’s selection of Grant Thornton LLP to audit the Partnership’s financial statements for the year ending March 31, 2026.
If the LTIP Proposal lacks sufficient votes, the meeting may be adjourned or postponed to solicit additional proxies in support of Proposal 1.
