    More detail

Proposal 3 asks stockholders to approve, on a non-binding advisory basis, the compensation paid to MSG Knickerbockers Corp.’s named executive officers as disclosed under the Compensation Discussion & Analysis and Executive Compensation Tables. The resolution is the Company’s annual “say-on-pay” vote, although the Company notes that its stockholders previously selected a triennial frequency for this advisory vote at the 2022 annual meeting. The Company nevertheless chose to hold the vote in 2026, ahead of the next required vote in 2028. Management argues that the compensation program aligns executives with stockholders by making a significant portion of compensation performance-based and equity-based. The program uses annual incentives tied initially to adjusted operating income, strategic modifiers, and long-term awards tied to revenues, adjusted operating income, and stock-price performance. The proxy highlights that 87% of the Executive Chairman and Chief Executive Officer’s compensation opportunity and 69% of the average compensation opportunity for other NEOs was at risk. The Company also describes governance features including independent Compensation Committee oversight, an independent compensation consultant and counsel, anti-hedging provisions, no excise-tax gross-ups, clawback provisions, and annual tally-sheet reviews. The Company reports that approximately 98.3% of votes cast supported its 2025 say-on-pay resolution, including approximately 93.6% of Class A votes. The Board recommends FOR approval, while emphasizing that the advisory vote is not binding but will be considered in future compensation decisions.
