  1. 1

    Extension Amendment Proposal

    ManagementBoard: FOR

Approve an amendment and restatement of the Company’s amended and restated memorandum and articles of association to permit the Board, without another shareholder vote, to extend the deadline for completing an initial business combination from December 11, 2026 by up to twelve one-month periods through December 11, 2027, subject to required monthly deposits by the Sponsor or its affiliates or designees into the Trust Account.

    More detail

The proposal asks shareholders to approve a complete amendment and restatement of the Company’s existing memorandum and articles of association. Its principal effect would be to allow the Board, without another shareholder vote, to extend the Company’s deadline for completing an initial business combination by up to twelve additional one-month periods. The extension could run from the current December 11, 2026 termination date through December 11, 2027, or within 36 months after the IPO. Each extension would require the Sponsor or its affiliates or designees to deposit into the Trust Account the lesser of $250,000 or $0.02 for each Public Share that remains outstanding after redemptions. The proposal is designed to give the Company additional time to identify and consummate a qualifying merger, share exchange, asset acquisition, share purchase, reorganization or similar transaction. Management states that it may not be able to complete an initial business combination by the current deadline and that failure to extend would force the Company to cease operations, redeem Public Shares and liquidate. Approval is cross-conditioned with approval of the Trust Amendment Proposal, and the Articles Amendment will not be implemented unless both are approved. Public shareholders would receive an opportunity to redeem their shares for their pro rata portion of the Trust Account if the amendment is implemented, regardless of how they vote. The Board unanimously recommends voting FOR because it believes preserving the opportunity to complete a business combination is in shareholders’ best interests while retaining redemption rights.

  2. 2

    Trust Amendment Proposal

    ManagementBoard: FOR

Approve an amendment and restatement of the Investment Management Trust Agreement to reflect the proposed monthly extension option and authorize the Company to enter into the amended agreement with Continental Stock Transfer & Trust Company.

    More detail

The proposal asks shareholders to authorize the Company to enter into an amended and restated Investment Management Trust Agreement with Continental Stock Transfer & Trust Company. The amendment would conform the Trust Agreement to the proposed monthly extension mechanism for the Company’s initial business combination deadline. If approved together with the Extension Amendment Proposal, the Sponsor or its affiliates or designees would fund monthly deposits into the Trust Account for each extension period. The Trust Amendment would also govern how the Trustee receives extension notices, accepts monthly payments, maintains the Trust Account and distributes funds if the Company completes a business combination or liquidates. Approval requires the affirmative vote of holders of at least 65% of the issued and outstanding Ordinary Shares voting as a single class, making this proposal more demanding than a simple majority of votes cast. The proposal is expressly cross-conditioned with the Extension Amendment Proposal, and neither amendment will be implemented unless both are approved. Public shareholders may redeem all or a portion of their Public Shares if the Articles Amendment is implemented, whether they vote for, against or abstain from the proposals. If the proposal fails and no initial business combination is completed by December 11, 2026, the Company would be required to redeem Public Shares and liquidate. The Board unanimously recommends voting FOR because it views the Trust Amendment as essential to obtaining additional time while maintaining the contractual framework for shareholder redemptions and liquidation distributions.

  3. 3

    Adjournment Proposal

    ManagementBoard: FOR

Approve an ordinary resolution permitting the Board or meeting chairman to adjourn the extraordinary general meeting to a later date or indefinitely if additional proxy solicitation or voting time is needed, including because of insufficient shares to approve the other proposals or to implement the monthly extension option.

    More detail

The proposal asks shareholders to authorize adjournment of the extraordinary general meeting to a later date or dates, or indefinitely. Adjournment could be used if the votes tabulated at the meeting show insufficient shares represented to constitute a quorum or insufficient votes to approve the Extension Amendment Proposal or Trust Amendment Proposal. The Board could also seek adjournment before the meeting if it believes additional time is needed to implement the Monthly Extension Option or determines that proceeding with the other proposals is no longer necessary or desirable. The meeting chairman would have comparable authority at the meeting under the resolution’s terms. The purpose is to permit further solicitation and voting rather than allowing an unfavorable or incomplete vote to immediately end the amendment process. Approval requires an ordinary resolution, meaning a simple majority of shareholders entitled to vote who vote in person or by proxy. Abstentions count toward the quorum but have no effect on approval of this proposal. The proposal is procedural and does not itself extend the Company’s business-combination deadline or amend the Trust Agreement. If it is not approved, the Board may lack the ability to adjourn for additional solicitation or to address insufficient representation, potentially preventing implementation of the other amendments. The Board unanimously recommends voting FOR because it considers the flexibility useful to secure the necessary votes and facilitate consideration of the extension-related proposals.
