Stockholders will vote on approval of The Elmet Group Co. 2026 Employee Stock Purchase Plan.
Approve the adoption of the Company’s 2026 Employee Stock Purchase Plan, which would allow eligible employees to purchase Company common stock through payroll deductions at a discount, subject to the plan’s share limits and other terms.
The proposal asks stockholders to approve The Elmet Group Co. 2026 Employee Stock Purchase Plan. The plan would permit eligible employees to buy Company common stock through payroll deductions ranging from 1% to 15% of compensation. Purchases would generally occur during offering periods of up to 12 months at a default price of 90% of the lesser of the stock’s value at the beginning of the offering period or on the purchase date, with a minimum permitted price of 85%. The initial share reserve would be 400,000 shares, subject to annual increases beginning in 2027 and an overall statutory limit described in the proxy materials. The plan is intended to qualify as an employee stock purchase plan under Section 423(b) of the Internal Revenue Code, potentially giving participating employees favorable tax treatment if holding-period requirements are met. Management states that employee stock ownership would strengthen recruitment and retention, increase employee participation in the Company’s affairs, and incentivize performance toward corporate objectives. Approximately 530 employees would initially be eligible to participate as of September 10, 2026, although future participation and purchases cannot be predicted. If stockholders reject the proposal, employees will not be able to acquire Company stock through the proposed ESPP. The Board recommends voting FOR because it believes the plan provides an important compensation and retention tool while aligning employees’ interests with stockholders.
