This management proposal requests an advisory (non-binding) shareholder vote to approve the 2025 compensation for the named executive officers (NEOs) as disclosed in the proxy materials. Management and the Compensation Committee assert that the program is designed to attract, retain and motivate executives, aligns pay with company performance through short- and long-term incentives tied to Adjusted Revenue, Adjusted EBITDA Margin, Net ARR Activity and multi-year PRSUs linked to revenue growth and relative TSR, and includes features such as clawbacks and stock ownership requirements to mitigate risk and align interests with shareholders. The Compensation Committee used independent consultants and peer benchmarking, exercised discretion in certain payouts (including reducing the 2025 APIP pool and cancelling APIP Shares to avoid dilution), and will consider the advisory vote results in future compensation decisions. The board recommends a vote FOR this proposal because it believes the compensation policies drive shareholder value and reflect sound governance practices.
