The proposal seeks shareholder ratification of the Audit Committee’s selection of PricewaterhouseCoopers LLP as the independent registered public accounting firm for fiscal 2026. Management and the Audit Committee emphasize oversight of auditor independence and periodically consider auditor rotation; representatives are expected to attend the meeting. The proposal is routine and standard for corporate governance; the Board unanimously recommends approval, noting the Audit Committee’s ongoing evaluation of audit quality and independence.
