    The proposal asks unitholders to approve the AB 2026 Long Term Incentive Plan as a successor to the company’s 2017 plan. The 2026 Plan would authorize awards covering up to 60 million AB Holding Units over a 10-year term, with all units eligible to be reacquired and up to 30 million eligible to be newly issued. The Board is seeking approval before the 2017 Plan expires in September 2027 so the company can maintain an uninterrupted equity-based compensation program. Management says restricted AB Holding Units, generally subject to three-year vesting, are important for recruiting, retaining and motivating employees and directors. The company also argues that equity awards align executives’ and employees’ long-term interests with those of unitholders and indirectly with clients because client performance supports assets under management and financial results. The plan includes governance protections such as minimum three-year service vesting for most restricted awards, a prohibition on option repricing, exercise-price floors, no evergreen provision, and clawback-policy coverage. Management expects to repurchase sufficient units to support all or most awards, which it says would limit material dilution, although it estimates maximum potential dilution at approximately 9.4% when newly issued units and relevant overhang are considered. If the plan is rejected, the company says it may have to rely more heavily on cash compensation, reducing financial flexibility and potentially weakening retention and alignment. The Board unanimously recommends a vote FOR adoption because it views the plan as necessary to preserve competitive compensation and support the company’s long-term performance.
