Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officer; Compensatory Arrangements of Certain Officers.

On February 24, 2026, Paul Picknelly, a member of the Board of Directors (the “Board”) of Western New England Bancorp, Inc. (the “Company”), notified the Board that he will retire from the Board, effective May 14, 2026, immediately following the Company’s 2026 Annual Meeting of Stockholders. Mr. Picknelly’s decision to retire from the Board was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
