2.To ratify ST & Partners PLT, as our independent registered public accounting firm for the fiscal year ending December 31, 2025;

 

3.To approve an amendment to the Company’s Articles of Incorporation in the form set forth in Annex A to increase the number of shares of the Company’s authorized common stock, par value $0.001 per share (“common stock”), that may be issued from 15,000,000 to 65,000,000;

 

4.To approve the compensation of the named executive officers as disclosed in this Proxy Statement in a non-binding, advisory vote; and

 

5.To transact such other business as may properly come before the meeting or any adjournment thereof.

  

THE BOARD OF DIRECTORS HAS FIXED THE CLOSE OF BUSINESS ON October 22, 2025 AS THE RECORD DATE FOR THE DETERMINATION OF SHAREHOLDERS ENTITLED TO RECEIVE NOTICE OF THE ANNUAL MEETING AND TO VOTE OUR COMMON STOCK THEY HELD ON THAT DATE AT THE MEETING OR ANY POSTPONEMENT OR ADJOURNMENT OF THE MEETING.
