ITEM 8.01 OTHER EVENTS.

 

On February 23, 2026, WEC Energy Group, Inc. (the “Company”) entered into an Underwriting Agreement covering the issue and sale by the Company of an additional $400,000,000 aggregate principal amount of its 4.75% Senior Notes due January 15, 2028 (the “Additional 2028 Notes”). The Additional 2028 Notes are being issued and sold by the Company in an offering registered under the Securities Act of 1933, as amended, pursuant to a registration statement on Form S-3, Registration No. 333-281253 (the “Registration Statement”).

 

The Additional 2028 Notes are part of the same series of debt securities as the $450,000,000 aggregate principal amount 4.75% Senior Notes due January 15, 2028 issued by the Company on January 11, 2023 (the “Original 2028 Notes” and, together with the Additional 2028 Notes, the “2028 Notes”). Upon completion of this offering, the aggregate principal amount of outstanding 2028 Notes was $850,000,000.
