Item 2.02 Results of Operations and Financial Condition
On January 12, 2026, Utz Brands, Inc., a Delaware corporation (the “Company”), issued a press release announcing certain of the Company’s preliminary unaudited results for the fiscal fourth quarter and fiscal year ended December 28, 2025.
A copy of the Company’s press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference into this Item 2.02. The preliminary financial results contained in the press release are based upon the Company’s estimates, are subject to completion of the Company’s financial closing procedures and review by the Company’s independent registered public accounting firm and do not present all the information for a complete understanding of the Company’s financial condition as of December 28, 2025.
