Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Interim Chief Medical Officer

 

On August 18, 2026, the Board of Directors of Tonix Pharmaceuticals Holding Corp. (the “Company”) appointed Dr. Seth Lederman, the Company’s President and Chief Executive Officer, as the Company’s Interim Chief Medical Officer.

 

Dr. Lederman, age 69, has been the Company’s President, Chief Executive Officer and Chairman of the Board since October 2011, and will continue to serve in these roles.

 

There are no arrangements or understandings between Dr. Lederman and any other person pursuant to which Dr. Lederman was appointed Interim Chief Medical Officer. There are no family relationships between Dr. Lederman and any director or executive officer of the Company.

 

Item 8.01 Other Events.

 

On August 18, 2026, the Company announced the appointment of Dr. Lederman to Interim Chief Medical Officer of the Company.
