Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
(b)    Effective on March 11, 2026, Stan Erickson, a former Class II director and Lead Independent Director, resigned and retired from the Board of Directors of Titan Machinery Inc. (the "Board"), consistent with the terms of the waiver of the Board's age-based retirement policy granted to Mr. Erickson in September 2025. In connection with Mr. Erickson's retirement, the Board elected Jody Horner to serve as the Board's new Lead Independent Director.
