Item 5.07 Submission of Matters to a Vote of Security Holders.

 

Spruce Biosciences, Inc. (the “Company”) held its 2026 Annual Meeting of Stockholders (the “Annual Meeting”) on May 21, 2026, in a virtual format. As of March 24, 2026, the record date for the Annual Meeting, there were 1,372,278 shares of the Company’s common stock outstanding and entitled to vote at the Annual Meeting, of which 903,893 shares, representing approximately 65.86% of the outstanding shares, were present virtually or represented by proxy, constituting a quorum. The final voting results for each of the proposals submitted to a vote of the Company’s stockholders at the Annual Meeting are set forth below.

Proposal 1: Election of Class III Directors.


The Company’s stockholders elected each of the three nominees named below to serve as Class III directors of the Company until the Company’s 2029 Annual Meeting of Stockholders and until his or her successor is duly elected and qualified, or until his or her earlier death, resignation or removal. In light of the foregoing voting results, and consistent with the recommendation of the Board of Directors, the Company has determined that it will include a non-binding stockholder advisory vote on the compensation of the Company’s named executive officers in its proxy materials every year until the next required vote on the frequency of such advisory votes, which is required to occur no later than the Company’s 2032 Annual Meeting of Stockholders.
