Item 8.01    Other Events.
On December 4, 2025, SoFi Technologies, Inc. (the “Company”) announced that it intends to offer for sale in an underwritten public offering (the “Offering”) $1.5 billion of shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”). On December 4, 2025, the Company announced that it priced the Offering. In connection with the Offering, the Company has granted the underwriters a 30-day option to purchase up to an additional 15% of the shares of Common Stock offered in the Offering. The shares of Common Stock in the Offering are being offered pursuant to a prospectus supplement which amends and supplements the prospectus dated July 29, 2025 that forms a part of the Company’s Registration Statement on Form S-3 (Registration No. 333-289046). The Company intends to use the net proceeds from the Offering for general corporate purposes, including but not limited to enhancing capital position, increasing optionality and enabling further efficiency of capital management, and funding incremental growth and business opportunities.
