Item 8.01 Other Events.
On April 30, 2026, Sadot Group Inc. (the “Company”) received a letter from the Listing Qualifications staff of The Nasdaq Stock Market LLC (“Nasdaq”) confirming that the Company has regained compliance with Nasdaq Listing Rule 5250(c)(1) (the “Rule”).
As previously disclosed, on April 17, 2026, Nasdaq notified the Company that it no longer satisfied the periodic filing requirement under the Rule. On April 29, 2026, the Company filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2025. Based on that filing, Nasdaq has now determined that the Company complies with the Rule and has closed the matter.
