On July 30, 2025, Stepan Company (“Stepan”) issued a press release providing its financial results for the quarter ended June 30, 2025. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.

 

Item 8.01. Other Events

 

On July 30, 2025, Stepan issued a press release announcing that its Board of Directors had declared a quarterly cash dividend on its common stock of $0.385 per share. The dividend will be paid on September 15, 2025, to common stockholders of record as of August 29, 2025. A copy of the press release is attached as Exhibit 99.2 hereto and incorporated herein by reference.
