Item 8.01 Other Items.

 

On April 1, 2026, QNB Corp. (the “Company”) completed its previously announced acquisition of The Victory Bancorp, Inc. (“Victory”) pursuant to the Agreement and Plan of Merger, dated as of September 23, 2025 (the “Merger Agreement”), between the Company and Victory. As a result of the transactions contemplated by the Merger Agreement, Victory merged with and into the Company with the Company continuing as the surviving corporation (the “Merger”), as previously disclosed in the Company’s Current Report on Form 8-K filed on April 7, 2026. In connection with the completion of the Merger, the unaudited consolidated financial statements of Victory as of and for the quarter ended March 31, 2026 are filed as exhibits hereto.

The unaudited pro forma condensed combined balance sheet of the Company as of March 31, 2026, giving effect to the Merger as if it had occurred on March 31 2026, and the unaudited pro forma condensed combined statements of income of the Company for the three months ended March 31, 2026 and for the year ended December 31, 2025, in each case giving effect to the Merger as if it had occurred on January 1, 2025, are filed as Exhibit 99.2 hereto and incorporated herein by reference.
