Explanatory Note

 

This Amendment No. 1 to Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by Peoples Financial Services Corp. (the “Company”) with the U.S. Securities and Exchange Commission on May 27, 2026 (the “Original Form 8-K”). The Original Form 8-K reported, among other things, the final voting results of the Company’s 2026 annual meeting of shareholders held on May 22, 2026. The sole purpose of this Amendment is to disclose, in accordance with Item 5.07(d) of Form 8-K, the Company’s decision regarding how frequently it will conduct future shareholder advisory votes on the compensation of the Company’s named executive officers. No other changes have been made to the Original Form 8-K.

 

Item 5.07Submission of Matters to a Vote of Security Holders

 

(d) As previously reported in the Original Form 8-K, at the Company’s 2026 annual meeting of shareholders, the Company’s shareholders voted their preference for holding future advisory votes on the compensation of the Company’s named executive officers every one year. In light of these results, and consistent with the recommendation of the Company’s board of directors as set forth in the Company’s proxy statement for the annual meeting, the board has determined that, until the next required shareholder advisory vote on the frequency of future advisory votes, the Company will hold future advisory votes on the compensation of the Company’s named executive officers every one year.
