Item 5.07 Submission of Matters to a Vote of Security Holders.
On June 26, 2025, UiPath, Inc. (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”). At the Meeting, the holders of 284,292,602 shares of the Company’s Class A common stock and 77,452,748 shares of the Company’s Class B common stock were represented in person or by proxy, which represented 94.53% of the voting power of the shares issued and outstanding and entitled to vote, constituting a quorum.
At the Annual Meeting, Proposals 1, 2 and 3 were approved by the Company’s stockholders and no other business was properly brought before the Annual Meeting. The proposals are described in detail in the Company’s Definitive Proxy Statement filed with the Securities and Exchange Commission (“SEC”) on May 13, 2025 (the “Proxy Statement”).
The votes for each proposal are set forth below.

At the Annual Meeting, the vote on the proposal to elect eight (8) directors to serve on the Company’s Board until the 2026 annual meeting of stockholders and until such time as their respective successors have been duly elected and qualified or until their earlier death, disability, resignation, retirement, disqualification, or removal from office, was as follows:
