Item 2.02. Results of Operations and Financial Condition.
On January 6, 2026, Newton Golf Company, Inc. (the “Company”) issued a press release announcing certain preliminary financial results for the fiscal year ended December 31, 2025. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
