On January 20, 2026, Nicolet Bankshares, Inc. (“Nicolet”) announced its earnings for the quarter and year ended December 31, 2025. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
 
Pursuant to General Instruction B.2 of Form 8-K, the information in this Item 2.02 and Exhibit 99.1, is being furnished to the Securities and Exchange Commission and shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section. On January 20, 2026, Nicolet declared a quarterly cash dividend of $0.32 per share on its common stock. The dividend will be payable March 16, 2026, to shareholders of record as of March 2, 2026.
