Item 8.01. Other Events.

 

On July 27, 2026, the Board of Directors of KIDZ AI Inc., a Nevada corporation (the “Company”), authorized an increase in the Company’s previously announced share repurchase program (the “Repurchase Program”) by 50% from $2,000,000 to up to $3,000,000 of shares of the Company’s Class B common stock.

 

As previously disclosed, purchases under the Repurchase Program may be made from time to time in open market transactions, block trades or privately negotiated transactions, and may from time to time be made pursuant to Rule 10b-18 under the Securities Exchange Act of 1934, as amended, or by any combination of such methods, as determined by the Company.

 

The Repurchase Program does not obligate the Company to acquire any particular amount of shares of Class B common stock. Future repurchases, if any, will depend on factors such as levels of cash generation from operations, cash requirements for investment in the Company’s business, repayment of future debt, if any, then current stock price, market conditions, securities law limitations and other factors. The Repurchase Program may be suspended, modified or discontinued at any time.

 

On July 28, 2026, the Company issued a press release announcing the foregoing, which press release is attached to this report as Exhibit 99.1.
