Kodiak AI, Inc. (the “Company”) held its 2026 Annual Meeting of Stockholders (“Annual Meeting”) on June 11, 2026. The matters submitted to a vote at the Annual Meeting and the final voting results of such matters were as follows:
Proposal 1 - Election of Directors. 
The Company’s stockholders approved the election of two Class I directors to hold office until the Company’s 2029 annual meeting of stockholders and until their respective successors are elected and qualified or until their earlier death, resignation or removal.
