Item 2.02.        Results of Operations and Financial Condition.
On March 2, 2026, Ingram Micro Holding Corporation (“Ingram Micro” or the “Company”) issued a press release announcing the Company’s financial results for the thirteen weeks ended and the fiscal year ended December 27, 2025. A copy of the press release is furnished herewith as Exhibit 99.1.

Item 8.01.        Other Events.
On March 2, 2026, the Company announced that its board of directors had declared a cash dividend on its common stock of $0.082 per share, payable on March 24, 2026, to stockholders of record as of March 10, 2026.
On March 2, 2026, the Company announced that on February 20, 2026, it voluntarily repaid an incremental $200 million of the principal balance of its senior secured term loan facility pursuant to the term loan credit agreement, dated as of July 2, 2021, by and among Imola Acquisition Corporation, Ingram Micro Inc., JP Morgan Chase Bank, N.A., and the lenders, agents and other parties thereto, as amended by Amendment No. 1 to the Term Loan Credit Agreement, dated as of June 23, 2023, as further amended by Amendment No. 2 to the Term Loan Credit Agreement, dated as of September 27, 2023, Amendment No. 3 to the Term Loan Credit Agreement, dated as of September 20, 2024 and as further amended by Amendment No. 4 to the Term Loan Credit Agreement, dated as of June 17, 2025.
On March 2, 2026, the Company also announced that its board of directors had approved a share repurchase plan whereby, from time to time, the Company may repurchase up to $100 million of the Company’s common stock in connection with one or more secondary public offerings by Imola JV Holdings, L.P. and/or Ingram Holdco, LLC, the Company's controlling stockholders, when an independent committee of the board of directors deems such repurchases are appropriate. Such repurchase authority expires on January 28, 2027.
