Item 2.02. Results of Operations and Financial Condition.
On November 17, 2025, i3 Verticals, Inc. (the “Company”) issued a press release announcing the results of its operations for the three months and year ended September 30, 2025. A copy of the press release is furnished as Exhibit 99.1 hereto and is hereby incorporated by reference into this Item 2.02.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 12, 2025, Burton Harvey notified the Company of his decision to resign as a member of the Company’s Board of Directors, effective as of November 14, 2025. Mr. Harvey’s decision to resign is not the result of any disagreement with the Company.
