Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers: Compensatory Arrangements of Certain Officers
On January 15, 2026, Maria Ross notified HF Foods Group Inc. (the “Company”) of her resignation from the board of directors (the “Board”) of the Company, all committees thereof, and as Lead Independent Director, effective January 16, 2025. Ms. Ross’s resignation from the Board was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
The Board has commenced a search process for a new independent director to fill the vacancy on the Board resulting from the resignation referred to above.
