Item 8.01 Other Events.
Kaplan, Inc. announced today that it has entered into an agreement to sell Dublin Business School to China Chunlai Education Group Co., Ltd., a provider of private higher education in China. Under the terms of the Share Purchase Agreement, Kaplan International UK Holdings Limited will sell all of the outstanding shares of Accountancy & Business College (Ireland) Limited, which operates Dublin Business School, together with certain intellectual property for $127.5 million, subject to possible deductions. Completion of the transaction is subject to the satisfaction of completion conditions.
