Item 8.01 Other Events
On August 24, 2026, FS Bancorp, Inc. (“Company”), the holding company for 1st Security Bank of Washington (“Bank”), announced that the Company’s Board of Directors authorized a share repurchase program of up to $5.0 million of the Company’s common stock. The repurchase program commences no sooner than the second trading day after the public announcement of this repurchase program. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
